TERMS OF USE & BETA TESTING AGREEMENT

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THIS WEBSITE. BY ACCESSING OR USING TRADE A PROJECT, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PLATFORM.

1. BETA TESTING PHASE NOTICE ("AS-IS" PROVISION)

1.1. Experimental Stage: You acknowledge that Trade A Project is currently operating in a Beta Testing Phase. The platform, its features, functionalities, software, and services are provided strictly on an "AS-IS" and "AS-AVAILABLE" basis.

1.2. Service Modifications: The site owner reserves the right to suspend, modify, update, limit, or discontinue any aspect of the platform or beta program at any time without prior notice or liability.

2. INTELLECTUAL PROPERTY & PROPRIETARY RIGHTS ("DO NOT COPY OR REPLICATE")

2.1. Ownership: All intellectual property rights in and to Trade A Project—including but not limited to the site design, layout, code, branding, logos, graphics, feature workflows, and original platform concepts—are the exclusive property of the platform founder/operator.

2.2. Restrictions on Use: As a beta participant, you are granted a limited, revocable, non-exclusive, non-transferable license to use the site solely for personal evaluation and testing purposes. You expressly agree that you shall not:

  • Copy, reproduce, modify, distribute, or create derivative works based on the platform's concept, architecture, user interface, or code.

  • Reverse-engineer, decompile, or disassemble any part of the site.

  • Steal, replicate, or commercialize the underlying platform concept, branding, or feature mechanics for competing commercial endeavors.

3. PEER-TO-PEER TRADES & COMPLETE DISCLAIMER OF RESPONSIBILITY

3.1. Platform Venue Only: Trade A Project acts solely as a venue and intermediary directory to allow users to list, browse, and arrange direct peer-to-peer swaps of personal items and unfinished project supplies. The platform operator is not a party to any barter, swap, sale, or exchange agreement between users.

3.2. No Responsibility for Trades: THE PLATFORM OPERATOR HAS NO CONTROL OVER AND ASSUMES ZERO RESPONSIBILITY OR LIABILITY FOR ANY TRADES INITIATED OR COMPLETED DURING THIS BETA PHASE. This includes, but is not limited to:

  • The quality, safety, legality, authenticity, condition, or completeness of traded items.

  • The accuracy or truthfulness of user listings or trade valuations.

  • The failure of any user to ship, deliver, perform, or fulfill their end of a trade agreement.

  • Lost, damaged, stolen, or misrouted packages/shipments.

    3.3. User Assumption of Risk: ALL TRADES, SWAPS, COMMUNICATIONS, AND TRANSACTIONS ARE COMPLETED ENTIRELY AT YOUR OWN RISK. You acknowledge that you are trading directly with third-party individuals and agree that the platform operator will not be liable for any financial losses, property damage, personal injury, or unfulfilled trade expectations.

4. USER CONDUCT & REPRESENTATIONS

4.1. Accurate Listings: Users agree to represent their items, project completion statuses, and conditions truthfully.

4.2. Prohibited Items: Users shall not list stolen goods, illegal materials, hazardous chemicals, weapons, or items that violate any applicable local, state, or federal laws.

4.3. Taxes: Users are solely responsible for determining, declaring, and remitting any applicable personal income or barter taxes associated with their trades in accordance with local regulations.

5. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE PLATFORM OWNER, OPERATOR, AFFILIATES, OR DEVELOPERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, BETA PARTICIPATION, OR ANY TRADES CONDUCTED THEREON.

6. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the platform owner and operator from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorney fees) arising out of or relating to your violation of these Terms, your use of the site, or any trade agreements you enter into with other users.

7. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of Wisconsin, USA, without regard to its conflict of law principles.
